UNIVERSITY OF CALIFORNIA SAN DIEGO EMERITI ASSOCIATION BYLAWS

Article I – Membership

  1. There shall be two types of members:  Regular and Associate.
  2.  Regular members shall consist of those who, at retirement from USCD, were: (a) members of the Academic Senate, or (b) non-Senate recipients of the emeritus title, or (c) non-Senate employees with educational and professional qualifications comparable to those of emeritus faculty and who are duly nominated and approved in accordance with Section (5) of this Article.
  3. Regular membership is maintained by payment of lifetime or annual membership dues.

  4. Associate members shall consist of (a) spouses of regular members, (b) widows and widowers of former members and of Senate members who died in service while eligible to retire, and (c) persons duly nominated and approved in accordance with Section (5) of this Article, and, (d) active members of the Academic Senate or active non-Senate employees with comparable educational and professional experience wishing to associate with and support the Emeritus Association, subject to payment annually of an amount equal to the dues established for regular members.

  5. Prospective regular or associate members other than those specified in Sections (1) and (2) and Section (4d) must be proposed by two or more regular members and approved by the Executive Committee and, if it exists, the Membership Committee.  Supporting documentation concerning the nominee must accompany the nomination.

Article II - Dues and Assessments

  1. The fiscal year of the Association shall be July 1 through the following June 30.  

  2. The yearly dues of the Association and all assessments shall be set by the Executive Committee and approved by a simple majority of those voting at an annual business meeting.  

  3. Except for closed meetings and ticketed events, any member, regular or associate, may bring guests by paying the extra social hour assessment, if any, for non-members.  Such assessment shall be set as in (2).

  4. Spouses of regular members and widows and widowers of former members and those of Senate members who died in service while eligible to retire shall not be required to pay dues.

Article III - Duties of Officers

  1. The President shall preside at meetings, shall exercise general supervision over the affairs of the Association, shall act as Chair of the Executive Committee, and shall serve as an ex officio member of all standing committees.

  2. The Vice President shall assume all the duties of the President in the absence of the latter.

  3. The Secretary shall ensure that notices are sent to the members, shall present reports and communications as the need arises, and shall ensure that all minutes and Association records are maintained.

  4. The Treasurer shall be responsible for the collection of dues and assessments and shall be the custodian of all Association funds. The Treasurer shall annually present to the members a complete statement of the finances of the Association at an annual business meeting.

Article IV - Committees

  1. Each year, the President, with the advice of the new Executive Committee, shall, if it is deemed necessary, appoint a Committee on Committees that shall also serve as the Membership Committee.  The membership of the Committee on Committees shall, insofar as possible, be representative of the various faculties.

  2. Members of standing committees are appointed by the President upon recommendation of the Executive Committee or, if it exists, of the Committee on Committees.

  3. Ad hoc committees are established by the President as needed.  With the exception of the Nominating Committee, the membership of ad hoc committees shall be recommended to the President by the Executive Committee or, if it exists, by the Committee on Committees.

  4. The Nominating Committee (see Article VII of the Constitution) shall be named well in advance of an annual business meeting in order to encourage the participation of the membership.

 Article V - Terms of Office

  1. Officers of the Association, except for the Treasurer or Secretary-Treasurer, are elected for a term of one year and may be re-elected for one additional year.

  2. The Treasurer, or Secretary-Treasurer, is elected to serve for three years and may not be re-elected for a contiguous term.

  3. Members-at-large are elected to serve for three years and may not be re-elected for a contiguous term.  Insofar as possible, they shall serve staggered terms in order to provide continuity.

  4. Should a term not be completed by an officer or member-at-large, the term shall be completed by a replacement. If the term to be served out is less than one year, the replacement may be appointed by the President upon recommendation of the Executive Committee or, if it exists, the Committee on Committees.  If the term to be served out is one year or more, a regular election must be held (see Article VII of the Constitution) appointed by the President upon recommendation of the Executive Committee or, if it exists, the Committee on Committtees, subject to ratification by the membership at the next regularly scheduled annual election, if the term to be served out equals or exceeds one year.

Article VI - Quorum

  1. A quorum of the Executive Committee shall consist of four of its nine members.

  2. Ten percent of the regular members of the Association shall constitute a quorum at any business meeting.

Article VII - Parliamentary Authority

Roberts Rules of Order, Revised, shall be the parliamentary authority for the Association.
